GENERAL TERMS AND CONDITIONS
1. Nature of the agreement
1.1 The General Terms and Conditions, together with the programme sheet, constitute the education agreement as referred to in Article 8.1.3 of the Dutch Education and Vocational Training Act (WEB).
1.2 The General Terms and Conditions may be unilaterally amended by Business Fashion Academy. Notification will take place by means of a personal notice or a general notice on the website.
1.3 This agreement sets out the general rights and obligations of the parties. Provisions specifically relating to the programme/course to be followed by the student are set out on the programme sheet. The programme sheet forms an integral part of this agreement. Wherever "programme" is used in this agreement, it refers to the programme as stated on the programme sheet.
1.4 Business Fashion Academy, registered with the Dutch Chamber of Commerce under number: 81273819. Business Fashion Academy is the user of these general terms and conditions.
1.5 "Year programme/evening programme and course" means a year programme, evening programme and course provided by Business Fashion Academy.
1.6 "Student" means the person who has accepted or signed the education agreement for a programme/course provided by Business Fashion Academy.
2. Content of the agreement
2.1 The content and structure of the programme/course are described in the relevant information shared, such as the website, presentations and study guide. This information is illustrative only and reflects examples from the past. The actual content under the study agreement may differ from the examples shown. The student cannot therefore derive any rights from the illustrative information shown.
2.2 These general terms and conditions apply to all offers, quotations, price quotes and agreements drawn up by Business Fashion Academy, as well as to all programmes, courses and services, deliveries and other (legal) acts performed by Business Fashion Academy.
2.3 The student is not entitled to transfer the rights and obligations under the study agreement to a third party without the written consent of Business Fashion Academy. Business Fashion Academy may attach further conditions to this consent.
3. Agreement/registration conditions
3.1 Registration for a Business Fashion Academy programme/course is (preferably) done by submitting a fully completed registration form. The registration procedure includes an intake interview, from which a selection is made. After the student receives the outcome of acceptance, the registration procedure will be finalised by means of this education agreement. Registration is only final once the education agreement, signed together with the payment form and/or authorisation form, and the reservation fee have been received by Business Fashion Academy.
3.2 All other registrations, including registrations by telephone or email, will be confirmed by Business Fashion Academy by email within 10 working days of receipt, after which an intake interview will be scheduled. The same procedure as described in paragraph 1 will then follow.
3.3 Once Business Fashion Academy has correctly received the steps described in 3.1 in the case of a registration, the education agreement is in effect and therefore final. This will be confirmed by Business Fashion Academy by email/letter.
3.4 The study agreement is concluded when Business Fashion Academy accepts the registration for a Programme in writing, and is deemed to have been concluded at the moment Business Fashion Academy has confirmed the registration for a Programme to the Client in writing. This confirmation also serves as proof of registration for the relevant Programme. Meeting any admission requirements for a Programme is, however, a condition for the formation of the Study Agreement. Cancellation on this basis by the institution may occur if the student does not meet certain requirements.
3.5 If a student has questions of an administrative nature or relating to the programme, Business Fashion Academy will ensure these are answered within ten working days at the latest. Should a (written) question require more time than the response time stated above, Business Fashion Academy will notify the student in writing, including an indication of when a response can be expected.
3.6 Students are selected and placed based on selective assessment.
3.7 The party — student or company — designated as the debtor according to the payment form and authorisation form will receive the invoice. Further correspondence will be conducted directly with the student.
3.8 If the student has not yet reached the age of eighteen, the competent parent or guardian must grant permission to participate by means of a written agreement, by signing the education agreement, the payment form, and, where an authorisation applies, by completing the authorisation form.
3.9 Business Fashion Academy reserves the right to exclude a student from participation if the tuition fee due has not been credited to Business Fashion Academy's account in a timely manner.
3.10 By returning the education agreement, the student commits to attending all lessons belonging to the relevant programme/course, together with the associated house rules.
3.11 (Legal) acts by subordinates of Business Fashion Academy do not bind Business Fashion Academy, unless and insofar as Business Fashion Academy has explicitly agreed to such (legal) acts in writing.
3.12 The obligations entered into by Business Fashion Academy never constitute more than a best-efforts obligation.
3.13 Business Fashion Academy is at all times entitled to have the agreement performed by third parties.
4. Term and termination of the agreement
4.1 This education agreement takes effect once signed by the student and is in principle entered into for the duration of the programme/course as stated on the programme sheet.
4.2 The student has 14 calendar days from receipt of the education agreement, payment form and authorisation form to sign and return them to Business Fashion Academy. In addition, the student must settle the reservation fee. If this is not done, the place will be released.
4.3 If the above process is correctly completed, the student has 14 calendar days to exercise a right of withdrawal, in which case the programme/course will be cancelled. If this does not apply, the student is legally bound by the education agreement.
5. Best-efforts obligations of Business Fashion Academy
5.1 Business Fashion Academy organises its educational activities in such a way that the student can reasonably complete the programme successfully within the set period, i.e. on or before the expected end date stated in the annual schedule.
5.2 Business Fashion Academy will notify the student in good time of the schedule and locations, and of any changes thereto made for organisational and/or educational reasons. The starting point is that the programme will take place at the programme location known to the parties. Business Fashion Academy may move a programme to another (digital) location, date and/or time. The decision on whether or not to relocate a programme rests solely with Business Fashion Academy.
5.3 Business Fashion Academy will make efforts to offer educational activities missed due to cancellation in another way and/or at another time, provided this is feasible for the institution.
5.4 Business Fashion Academy will make efforts to maintain an attendance record.
5.5 Business Fashion Academy is entitled to have a Programme, or parts thereof, provided by a partner authorised by Business Fashion Academy, in which case the Study Agreement between the student and Business Fashion Academy and these General Terms and Conditions remain fully applicable. Provisions agreed between Business Fashion Academy and the student also extend to the relationship between the student and the partner.
5.6 Students of the year/evening programme receive guidance during lessons. Outside lesson hours, guidance will be available by email or by appointment, on the designated lesson days from 10:00 to 18:00, with the exception of holidays and public holidays.
6. Best-efforts obligations as a student
6.1 The student is required to actually attend the educational activities according to the applicable schedule and to carry out assignments given as part of the programme, unless this cannot reasonably be expected of him/her for urgent reasons, in which case this must be discussed and written approval given by BFA.
6.2 The student must be present at the designated location in good time, i.e. before the start of the relevant educational activities.
6.3 The student must demonstrably make an effort to achieve the objectives set by the student.
6.4 The student acknowledges that following the programme requires having the appropriate equipment (such as a laptop, tablet or iPad) and takes responsibility for the required Office and Adobe software.
6.5 Any travel costs for domestic excursions are at the student's own expense. In addition, any additional costs for the production of products are also at the student's expense. The cost structure may vary per term, depending on the content of the programme.
7. Absence from the programme
7.1 Students are required to show 90% attendance during lessons, unless a different arrangement has been made.
7.2 In the event of unauthorised absence, the programme director may impose an appropriate measure, including exclusion from further education while the student remains obliged to pay the full tuition fee.
8. Financial obligations
8.1 Price quotations are provided by Business Fashion Academy based on the prices applicable to the offer at that time.
8.2 The parties are aware that Business Fashion Academy provides bespoke programmes, in the sense that a limited number of students are trained by renowned instructors at selected locations. A large part of the tuition fee is used by Business Fashion Academy to pay third-party costs, such as venue rental, hiring (guest) instructors, etc. The student is informed of this, also to clarify why a payment remains due (after cancellation/termination by the student).
8.3 The stated prices are exclusive of VAT and other government levies, taxes and duties, unless stated otherwise. Because Business Fashion Academy is registered with the CRKBO, the prices are exempt from VAT.
8.4 By signing the education agreement, the student declares to have taken note of the educational requirements described in Article 6, which he/she must have before the start of the programme, and the additional costs involved.
8.5 Upon returning the signed education agreement by email or in writing, the student must simultaneously pay the reservation fee, amounting to 5% of the future tuition fee, via iDEAL. The reservation fee will be deducted from the remaining tuition fee. In the period between payment of the reservation fee and July, the student will receive an invoice by email/in writing for the remaining amount, either for full payment or instalment payment, provided this has been indicated within the above period. The remaining amount must be transferred to the bank account held by Business Fashion Academy before August.
8.6 The payment term for each invoice is 14 days from the invoice date; this payment date is a strict deadline. The student must ensure the invoice is paid within this term. If the invoice is not paid within the payment term, the student is in default. In the event of default, the entire tuition fee becomes immediately and fully due and payable. In addition, in the event of default, reminder costs of €225 will be charged. Furthermore, a debt collection agency and/or bailiff will be engaged if Business Fashion Academy deems this necessary.
8.7 The student may not suspend or set off his/her payment obligation.
8.8 Administration costs of €64.90 are charged on the tuition fee. If payment in instalments is agreed, the (remaining) amount may be paid in one, two, three, six or ten instalments. No surcharge is charged for payment in one instalment. For the year and evening programmes, the remaining amount may be paid in two, three, six or ten instalments, with a percentage surcharge applied to the tuition costs for instalment payments. For the course, payment may be made in two or three instalments.

For payment of the year programme in two instalments, a surcharge of +1% applies.

For payment of the year programme in three instalments, a surcharge of +2% applies.

For payment of the year programme in six instalments, a surcharge of +4% applies.

For payment of the year programme in ten instalments, a surcharge of +6% applies.

For payment of the evening programme in two instalments, a surcharge of +1% applies.

For payment of the evening programme in three instalments, a surcharge of +2% applies.

For payment of the evening programme in six instalments, a surcharge of +4% applies.

For payment of the evening programme in ten instalments, a surcharge of +6% applies.

For payment of the course in two instalments, a surcharge of +4% applies.

For payment of the course in three instalments, a surcharge of +6% applies.
In all cases of instalment payment, the student will receive an email/written invoice within the above period stating the first instalment payment.
8.9 In the event of any default, reminder costs will be charged, without prejudice to Business Fashion Academy's right to claim damages. In the case of instalment payments, the claim for the total tuition fee owed and the interest due will be handed over to a third party after the second failure to pay. The damages — namely the extrajudicial costs and interest owed by Business Fashion Academy to that third party — will be recovered in full from the student, without prejudice to the right to claim further damages.
8.10 Default by the student gives Business Fashion Academy the right to suspend its obligations, including the option for Business Fashion Academy to (temporarily) deny the student access to the programme, until the payment arrears have been settled by the student and there is no longer any default. The student will not receive a certificate if payments are not in order.
9. Cancellation/changes by Business Fashion Academy
9.1 Business Fashion Academy cannot guarantee that the programme/course will actually take place. Business Fashion Academy is entitled at all times to cancel a programme/course without being liable for any (in)direct compensation.
9.2 The programme/course will in any case not proceed if, in the opinion of Business Fashion Academy, too few students wish to participate.
9.3 If the programme does not proceed due to unforeseen circumstances, this will be communicated as soon as possible before the first (lesson) day of the programme/course.
9.4 If Business Fashion Academy cancels the programme/course and it has not yet started, the student is entitled to a refund of any deposit already paid or tuition fee already paid. The refund period is four weeks after cancellation. If the programme/course has already started, cancellation by Business Fashion Academy will lead to a refund of the tuition fee paid, to be determined on a reasonable basis.
9.5 If a maximum number of students has been set for a programme/course and the number of registrations has reached this maximum, Business Fashion Academy is entitled to refuse students.
9.6 Business Fashion Academy cannot guarantee that the student's preferences will be taken into account when determining the lesson dates.
9.7 Business Fashion Academy is entitled to reschedule already planned lesson days or change the location, or replace instructors, without being liable for any (in)direct compensation.
9.8 In the event of a change to the programme dates and/or location by Business Fashion Academy, students will be notified of this as soon as possible before the start of the relevant lesson.
10. Termination of the agreement
10.1 Cancellation of the agreement must be done by email and addressed to the administration department of Business Fashion Academy at: administratie@businessfashionacademy.nl. Business Fashion Academy will use the sending date of the email as the cancellation date.
10.2 Students who enter into this agreement in the exercise of their profession or business may only terminate this agreement for compelling reasons, in the sense that the parties effectively conclude a fixed-term agreement for services excluding any right of termination for students entering into this agreement in the exercise of their profession or business.
10.3 For the student acting as a consumer, i.e. not entering into the agreement in the exercise of a profession or business, the following applies upon termination of the programme/course:

Termination during the term is possible at any time; and

The student has been informed of, and agrees to, owing Business Fashion Academy a reasonable compensation — the amounts set out below; and

In the event of cancellation — after acceptance — between two months and four weeks before the start of the relevant programme/course/first lesson day, an amount of 35% of the full tuition fee is due; and
-
In the event of cancellation — after acceptance — between four weeks and the actual start of the relevant programme/course/first lesson day, an amount of 50% of the full tuition fee is due; and
-
In the event of cancellation after the start of the programme/course, the student owes Business Fashion Academy 50% of the full tuition fee, plus the cost of education already followed, regardless of whether the student attended the session(s). The total costs will never exceed the agreed costs.

Under the above points, any previously agreed instalment plan lapses, and the above will apply instead.
10.4 The parties consider the aforementioned cancellation arrangement to be reasonable, in the sense that the parties recognise that a student acting as a natural person is legally free to terminate the agreement for services at any time without owing compensation. The student acting as a natural person must, however (in the case of termination), reimburse Business Fashion Academy for the costs associated with performance of the education agreement. The parties estimate the scope of these costs in accordance with paragraph 3 of this article.
10.5 The student may cancel the registration as referred to in Article 4, paragraph 3. If the student does not cancel the registration for a programme/course in this manner, the student is legally bound by the agreement.
10.6 If the student cancels the registration for a programme/course in good time and in accordance with the provisions of Article 4, paragraph 3, Business Fashion Academy will arrange a refund within fourteen calendar days.
10.7 If the student decides, after the start of the programme/course, to no longer continue with it, no refund of the tuition fee paid will be given, and the student is obliged to pay any remaining tuition fee.
10.8 If the student does not attend the lessons of the programme/course, no refund of the tuition fee will be given. In the event of early termination of the programme/course by the student, no refund of the tuition fee will be given.
10.9 If the student is absent from one or more lessons due to illness or accident, the student will, upon presentation of a doctor's statement and after consultation, be given the opportunity to attend the missed lesson(s) in another course cycle, subject to the existence of the relevant course cycle and the availability of sufficient capacity. In that case, the payment obligation will not be deferred. There will be no postponement of payment.
10.10 If the student is absent from one or more lessons due to illness, accident, or the death of a first- or second-degree family member, the student will, upon presentation of a doctor's statement and after consultation, be given the opportunity to attend the missed lesson(s) in another course cycle, subject to the existence of the relevant course cycle and the availability of sufficient capacity. There will be no postponement of payment.
10.11 In the event of the death of the student, the agreement will be terminated by operation of law on the date of death. The tuition fee, less costs for the programme/course up to the date of death, will be refunded to the rightful claimant.
10.12 The student must conduct themselves as befits a proper student. The student adheres to the applicable professional conduct (Appendix 1), the content of which is considered repeated and included here. If the student behaves in a manner that damages the interests of Business Fashion Academy, or the person, honour or interests of other students, Business Fashion Academy reserves the right to dissolve the agreement with the student. In this case, no refund of the tuition fee will be given.
11. Liability
11.1 In the event the student acts as a consumer and suffers damage, the liability of Business Fashion Academy is limited to compensation for direct damage (liability for indirect damage — such as consequential damage, delay damage, loss of profit and lost revenue — is therefore excluded). Furthermore, the cumulative compensation obligation is limited to the amount paid by the student in (or in respect of) the academic year in which the damage-causing event occurred. Business Fashion Academy's cumulative compensation obligation will under no circumstances exceed the amount actually paid out to Business Fashion Academy by Business Fashion Academy's insurer. The foregoing does not apply only in cases of intent or gross negligence on the part of Business Fashion Academy's senior management.
11.2 In the event the student acts in the exercise of their profession or business, the assignment is performed with the exclusion of Articles 7:404 and 7:407(2) of the Dutch Civil Code. If the student referred to in this paragraph suffers damage, the (extra-)contractual cumulative liability of Business Fashion Academy resulting from a (related series of) attributable failures is limited to compensation for direct damage (liability for indirect damage — such as consequential damage, delay damage, loss of profit and lost revenue — is therefore excluded). Furthermore, the cumulative compensation obligation is limited to the amount paid by the student in (or in respect of) the academic year in which the damage-causing event occurred. The aforementioned compensation obligation of Business Fashion Academy will under no circumstances exceed the amount actually paid out to Business Fashion Academy by Business Fashion Academy's insurer. The foregoing does not apply only in cases of intent or gross negligence on the part of Business Fashion Academy's senior management.
11.3 Business Fashion Academy is not liable for damage resulting from early termination of the education agreement. In that case, the student has no right to reimbursement of costs incurred, unless agreed otherwise.
11.4 Business Fashion Academy accepts no liability for damage to or theft of the student's (personal) belongings.
11.5 Business Fashion Academy is otherwise not liable for any damage beyond the liability arising from law. Business Fashion Academy is only liable for damage against which it has insured itself by means of liability insurance and against which it could reasonably have insured itself. Business Fashion Academy is never liable for consequential damage.
11.6 Any damage caused by the student on the premises, such as damage to furniture or equipment, etc., will be recovered from the student or the legally authorised parent or guardian.
11.7 The objectives set by the student are not the responsibility of Business Fashion Academy. The student is solely responsible for achieving the objectives and for the outcome at the end of a programme/course.
11.8 The limitation of liability also extends to all persons for whom Business Fashion Academy may be found to be responsible.
12. Procedure for disputes and complaints
12.1 If the student believes this agreement has been applied incorrectly or carelessly, the student may submit a complaint to Business Fashion Academy's complaints committee.
12.2 If a student has a complaint about a programme, course or refresher training, he/she will first try to resolve it with the instructor. If this is unsuccessful, he/she may submit a complaint to Business Fashion Academy's complaints committee.
12.3 The student sends the complaint digitally to Business Fashion Academy's complaints committee. The complaint must include at least: the name and address of the complainant, the date of submission, a description of the complaint, the grounds for the complaint, and the steps already taken.
12.4 Complaints should be sent to Business Fashion Academy, complaints department, attn. coordinator of Business Fashion Academy: email address: algemenezaken@businessfashionacademy.nl
12.5 The deadline for submitting a complaint is two working weeks. This period begins on the day after the day on which the complaint arose.
12.6 Business Fashion Academy's complaints committee will date-stamp the received complaint and confirm to the complainant by email, within ten days, that the complaint has been received and will be handled. The complaints committee will conduct an investigation before deciding.
12.7 Business Fashion Academy's complaints committee will give the student an indication of the expected time needed to process, substantively handle and respond to the complaint.
12.8 Business Fashion Academy guarantees the student that every complaint will be handled carefully and with due regard for the student's privacy.
12.9 Business Fashion Academy's complaints committee will decide within four working weeks of the complaint being submitted. The complaints committee will notify the student digitally no later than four weeks after submission of the complaint and present the ruling to the student.
12.10 Should Business Fashion Academy's complaints committee need more time to decide, it will inform the student of this within the already established four-week period. The complaints committee will also indicate within what period the student can expect a response.
12.11 All written complaints, together with how they were handled, will be retained for a period of five years.
12.12 If a student disagrees with the decision of the complaints committee, he/she may appeal this decision to the independent third party named: Marcel Joosten. The written notice of appeal must include at least: the name and address of the appellant, the date of submission, a description of the measure or decision being appealed, and the grounds for the appeal. The notice of appeal must be addressed in writing to the independent third party: attn. Marcel Joosten.
12.13 The deadline for submitting a notice of appeal is two working weeks. This period begins on the day after the day on which the measure or decision of the independent third party was announced.
12.14 The independent third party will decide within four working weeks of the appeal being submitted and will notify the student within four weeks. Should the independent third party need more time to decide, it will inform the student of this within the already established four-week period. The independent third party will also indicate within what period the student can expect a response.
12.15 Business Fashion Academy accepts the ruling of the independent third party, and the ruling is binding. Any consequences will be dealt with as soon as possible, within two weeks.
12.16 The independent third party guarantees the student that any appeal submitted will be handled carefully and with due regard for the student's privacy.
12.17 All appeals submitted will be retained for a period of five years.
13. Certificate/exemptions and resits
13.1 The student will only receive a certificate after all instalment payments have been made and the programme/course has been successfully completed.
13.2 Business Fashion Academy does not grant exemptions from parts of a programme/course.
13.3 If a programme/course must be concluded with a final assignment by the student that is assessed as insufficient, the student has the right to improve or redo this assignment within the period specified by Business Fashion Academy.
14. Confidentiality
14.1 Everyone involved on behalf of Business Fashion Academy in the delivery of a programme/course and who thereby gains access to data of which they know, or reasonably should suspect, the confidential nature, is obliged to keep it confidential.
14.2 Both parties are obliged to keep confidential all confidential information they have obtained from each other or from another source in connection with their agreement. Information is considered confidential if this has been communicated by the other party or if this follows from the nature of the information.
15. Intellectual property rights
15.1 All intellectual property rights relating to the course/lesson material provided by Business Fashion Academy to the student belong to Business Fashion Academy.
15.2 All materials provided by Business Fashion Academy, such as lesson material, readers, presentations, reports, videos, etc., remain the property of Business Fashion Academy after payment of the tuition fee. They may not be reproduced, made public, or disclosed to third parties without the prior consent of Business Fashion Academy.
15.3 The student grants Business Fashion Academy permission to share photos of the student and products on Instagram/Facebook/LinkedIn and other social media channels. The student grants permission for the shared photos of the student and products to be used for marketing/branding purposes.
16. Personal data
16.1 The student's name, address and email details are recorded in Business Fashion Academy's address database and are used for organising the programmes/courses and, where desired, to keep the student informed of the range of programmes/courses offered by Business Fashion Academy. The data will only be provided to third parties if strictly necessary for the proper delivery of the programme and with the student's consent.
16.2 Business Fashion Academy processes the personal data provided by the student in accordance with Business Fashion Academy's privacy policy.
Education Agreement
Appendix 1: Professional conduct
Business Fashion Academy expects a certain professional conduct during the programme/course. At Business Fashion Academy, you are challenged to think critically about how you are present during lessons and how a student goes about their work. It is important to know what values you hold as a student, but also what values Business Fashion Academy holds, and to adapt your professional conduct accordingly. At Business Fashion Academy, it is especially important that you learn to understand your own qualities, how best to apply them, and what is expected of you in the professional field. Below are a number of points that are important to Business Fashion Academy regarding professional conduct.
